These Terms of Service ("Terms") constitute a legally binding agreement between you and Druvance, Inc. ("Druvance", "we", "us", or "our") governing your access to and use of the Druvance platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services.

To access certain features of the Services, you must register for an Account. You agree to:

• Maintain the security of your Account credentials
• Accept responsibility for all activities that occur under your Account

**Druvance Property:** The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, are owned by Druvance, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

**Your Content:** You retain all rights to your Content. By uploading Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your Content solely for the purpose of providing and improving the Services.

**Feedback:** Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without restriction or compensation to you.

**Fees:** Certain features of the Services require payment of fees. All fees are stated in US dollars unless otherwise specified.

**Billing:** You agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis, depending on your subscription.

**Auto-Renewal:** Subscriptions automatically renew unless cancelled before the renewal date. You authorize us to charge your payment method for renewal fees.

**Refunds:** All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

**Price Changes:** We reserve the right to change our fees at any time. Price changes will take effect at the start of the next billing period.

**By You:** You may terminate your Account at any time by following the instructions in your Account settings or by contacting us. Upon termination, your right to use the Services will immediately cease.

**By Us:** We may suspend or terminate your Account and access to the Services at any time, with or without cause, with or without notice.

**Effect of Termination:** Upon termination: - All licenses granted to you will immediately terminate - You must cease all use of the Services - We may delete your Account and Customer Data - Provisions that by their nature should survive termination will survive

**Data Retention:** Following termination, we may retain your Customer Data for a reasonable period in accordance with our data retention policies and legal obligations.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: - IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT - WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE - WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DRUVANCE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless Druvance, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your Content
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California. You consent to the personal jurisdiction and venue of such courts.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

We may revise these Terms from time to time at our sole discretion. All changes are effective immediately when posted.

Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those changes. We will notify you of material changes by:

• Posting a notice on our Website
• Sending an email to the address associated with your Account
• Displaying a notice within the Services
